Agreement to Terms
These Terms and Conditions ("Terms") constitute a binding agreement between you ("Customer") and OneNeural, Inc. By accessing or using our websites, APIs, or managed AI services, you agree to be bound by these Terms.
Access to the Platform
- You must ensure that all account registration information is accurate and kept up to date.
- You are responsible for maintaining the confidentiality of credentials issued to your organization.
- OneNeural may suspend access if we detect abusive activity, security risks, or violations of applicable law.
Acceptable Use
You agree not to:
- Reverse engineer, decompile, or otherwise attempt to extract the source code of our models or platform.
- Use the services to build competing products or to process unlawful content.
- Introduce malware, automated scanners, or uncontrolled load that may degrade our infrastructure.
Intellectual Property
All software, documentation, and models delivered by OneNeural remain the property of OneNeural or its licensors. Customer retains ownership of pre-existing data provided to the platform. Each party grants the other the rights necessary to perform the obligations described in a signed order form or master services agreement.
Confidentiality
Information disclosed by either party that is labelled confidential or would reasonably be understood as confidential must be protected using the same degree of care the receiving party uses to protect its own sensitive information. Confidential information may only be used to fulfil obligations under the parties' agreement.
Warranties and Disclaimers
OneNeural provides the services "as-is" and disclaims all implied warranties to the fullest extent permitted by law. We do not guarantee uninterrupted operation or that outputs generated by the system will meet Customer's intended purpose.
Limitation of Liability
In no event will either party's aggregate liability exceed the fees paid or payable in the twelve (12) months prior to the event giving rise to the claim. Neither party will be liable for indirect, incidental, or consequential damages.
Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
Changes to These Terms
We may update these Terms periodically. When updates are material, we will provide advance notice to the email addresses associated with your account. Continued use of the services after the effective date of updated terms constitutes acceptance of the revisions.
